1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at bizybear.app and any related services, applications, or features (collectively, the "Service") operated by Bizybear, Inc., a Delaware corporation ("Bizybear," the "Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Changes to Terms

We may modify these Terms at any time by posting revised Terms on this page. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

3. Privacy Policy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and disclose information.

4. Use of the Service

You agree to use the Service in compliance with all applicable laws and regulations. You are responsible for all activities that occur under your Account, and you must promptly notify us of any unauthorized use or suspected breach of security.

5. Accounts, Profiles, and Organization Membership

To use certain features of the Service, you must create an account ("Account"). When you create an Account, you agree to provide accurate and complete information and to keep it up to date.

All user profiles on the Service are public in limited form and may include your username, display name, and avatar (when implemented). Your profile information may be displayed in areas such as public sets you create, organization membership lists, chats, and other interaction points within the Service.

You may join an organization on the Service ("Organization") or, where permitted by the Service, an Organization may create an Account for you. When joining an Organization, you may be prompted to provide additional information such as your full name, age, graduation year, or role. The Organization's administrators control which additional fields are requested and how those fields are used within that Organization.

By joining an Organization, you understand that your activity within that Organization (including but not limited to participation data, tasks, and chats) may be visible to that Organization's administrators and, where appropriate, other members of the Organization.

Accounts are intended for use by a single individual. Except where expressly permitted within an Organization by its Admins (for example, role-based access within a shared environment), you agree not to share your login credentials with any other person and not to allow others to use your Account. You are responsible for maintaining the confidentiality of your password and other login credentials.

You agree not to create or use multiple personal Accounts for the purpose of evading usage limits, subscription limits, or enforcement actions, and not to create Accounts in someone else's name without their permission. Bizybear may suspend or terminate Accounts that are, in our reasonable judgment, created or used in a manner that circumvents or attempts to circumvent these Terms, Plan limitations, or security controls.

6. Subscription Plans and Tiers

The Service offers subscription-based plans for individuals and Organizations (collectively, "Plans"). Plan features and limitations may be changed from time to time.

Plan features, limits, and pricing may be updated at any time. We will provide notice of material changes where required by law or by these Terms.

7. User-Generated Content and Ownership

The Service provides tools—such as AI-powered generators, graders, libraries, and interactive modules—that allow you to create, upload, or otherwise submit content ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content.

7.1 License to Bizybear (Operational Use)

By submitting User Content to or through the Service, you grant Bizybear, Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, host, store, modify, adapt, translate, distribute, display, and perform that User Content as reasonably necessary to:

7.2 Public Sets and Marketing Use

The Service allows certain User Content to be designated as "Public Sets." Public Sets are intentionally made accessible to all users of the Service and may be visible to non-users via public links or search engine indexing, as described in Section 8.

In addition to the operational license above, by creating a Public Set you grant Bizybear, Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and publicly perform that Public Set for marketing, promotional, educational, and demonstration purposes (for example, in screenshots, case studies, documentation, or product demos), subject to the additional protections for Organizations in Section 9 and educational Organizations in Section 11.

Paid Organization tiers (Silver, Gold, Premier) may request that their Public Sets not be used in Bizybear, Inc.'s public marketing or promotional materials. When such a request is honored, Bizybear, Inc. will cease using the applicable Public Sets for future marketing purposes, while retaining the rights necessary to continue hosting and serving those Public Sets within the Service.

7.3 No Transfer of Ownership

Except for the licenses expressly granted in these Terms, Bizybear, Inc. does not claim ownership over your User Content. You are responsible for ensuring that you have all necessary rights, licenses, and consents to upload or create User Content, and that your User Content does not infringe or violate the rights of any third party.

8. Public Sets, Public Profiles, and Indexing

Public Sets are User Content that you or your Organization choose to make publicly accessible. Public Sets may be:

Public Sets may display your username, display name, avatar (when implemented), and, if applicable, the name of your Organization. By creating a Public Set, you acknowledge and agree that this information may become publicly visible and may be associated with your content.

For Always Free individual accounts and Standard (free) Organization accounts, all sets are Public Sets. These tiers do not support private sets.

9. Organization Accounts ("1Organization") and Admin Rights

An Organization account allows multiple user Accounts to be associated with a single Organization. Organization administrators ("Admins") manage membership, content, and settings for that Organization.

Organizations retain ownership over User Content created within their Organization by their members in the course of using the Organization's workspace, subject to any agreements between the Organization and its members. As between Bizybear, Inc. and the Organization, the Organization is generally treated as the controller of Organization-level data.

Organization Admins may:

Participation data, task data, and chats created within an Organization are considered sensitive within that Organization. They may be accessed by Organization Admins and processed by Bizybear, Inc. as necessary to provide the Service, including maintaining records, generating analytics for the Organization, and protecting the Service from abuse.

Bizybear, Inc. may maintain internal logs of activity within an Organization for security, support, and legal purposes. We may provide activity or audit information to Organization Admins upon request, subject to our legal and privacy obligations.

10. AI, Automation, and Model Training

The Service may include AI-powered features, recommendations, grading tools, or automated content generation ("AI Features"). When you use AI Features, your prompts, inputs, and outputs may be processed by Bizybear, Inc. to provide the requested functionality.

10.1 Individual Accounts

For individual users (Always Free, Plus, Ultra), all sets (public and private) may be used by Bizybear, Inc. internally to develop, train, and improve models and algorithms, and to improve the performance and reliability of the Service. Only Public Sets from individual users may be used in marketing, promotional, or demonstration materials, as described in Section 7.2.

10.2 Organization Accounts

For Organizations, Bizybear, Inc. may use Public Sets for internal improvement and training of models, and, subject to Section 7.2 and Section 11, for marketing and promotional purposes. Non-public Organization content—including private sets, Organization-only resources, tasks, participation data, and chats—is not used to train generalized models for external use without the Organization's explicit consent in a separate agreement or setting.

Bizybear, Inc. may still process non-public Organization content as necessary to operate the Service, including performing analytics for that Organization, securing the Service, and complying with applicable law.

10.3 AI Output

AI-generated output may be based on patterns learned from a wide range of data. You are responsible for reviewing AI-generated content for accuracy and suitability before using it. Bizybear, Inc. does not guarantee that AI-generated content is free from errors or third-party rights issues. You are responsible for ensuring that your use of AI-generated content complies with applicable laws and these Terms.

11. Educational and Youth Use

The Service may be used by educational Organizations, such as schools, school districts, clubs, or student organizations. These Organizations may invite or manage Accounts for students or other youth members.

Under-13 users may only use the Service under the control of an educational or similar Organization that represents and warrants that it has obtained all necessary parental, guardian, or institutional consents required by law. Such Organizations are responsible for configuring privacy settings, managing membership and access, and determining what data is collected from students or youth members.

For educational Organizations, Bizybear, Inc. will not use student-identifiable content (such as student names tied to submissions, tasks, or chats) in public marketing materials or case studies without explicit written consent from the Organization. We may use de-identified or aggregate data for internal analytics, research, and service improvement.

Educational Organizations are responsible for complying with applicable student privacy and data protection laws and for handling exports, local storage, and any onward sharing of data they obtain from the Service.

12. Paid and Premium Plans; Billing

Bizybear, Inc. may offer optional paid subscription tiers or premium plans that unlock additional features, expanded usage limits, or priority support ("Premium Plans"). By subscribing to a Premium Plan, you agree to pay the fees and charges associated with that Plan. Fees are charged in advance on a recurring basis and are non-refundable except as required by law or as specifically stated in the Plan terms.

You may cancel your Premium Plan at any time; cancellation will become effective at the end of the then-current billing period. We reserve the right to modify Premium Plan features, pricing, or billing terms with advance notice where required. Continued use of a Premium Plan after such notice constitutes acceptance of the changes.

All User Content generated using Premium Plan tools is subject to the same ownership and license terms described in Sections 7–11.

You agree not to engage in any of the following prohibited activities:

14. DMCA and Copyright Complaints

If you believe that content on the Service infringes your copyright, you may submit a notice to us in accordance with applicable law. Your notice should include sufficient information to identify the allegedly infringing content and provide contact information so that we can reach you. We may remove or disable access to content upon receipt of a compliant notice and may notify the user who provided the content.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Certain obligations, such as licenses already granted, limitations of liability, and disclaimers, will survive termination.

16. Disclaimers and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Bizybear, Inc. disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Bizybear, Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages. To the extent permitted by law, our total liability for any claims arising out of or relating to the Service shall not exceed the amount you paid us, if any, for use of the Service during the twelve (12) months preceding the event giving rise to the claim.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
